Terms of Service

1. Agreement

These Terms govern your use of ChannelStack services provided by Candyblocks, Inc. By using our services, you agree to these terms. If you don't agree, don't use our services.

2. Account Requirements

• You must be 18+ and able to form binding contracts
• Provide accurate account information
• Keep your password secure
• You're responsible for all account activity

3. Our Services

ChannelStack provides performance marketing automation:

• Conversion tracking and event forwarding to ad platforms
• Campaign management and optimization tools
• Analytics and reporting

We act as a data processor. You're responsible for having proper consent and rights to use the data you send us.

4. Payment

• Prices are listed on our pricing page
• Subscriptions auto-renew until cancelled
• Payments are processed by Stripe
• No refunds - all payments are final
• You're responsible for ad spend on third-party platforms

5. Acceptable Use

Don't use our services to:

• Break any laws
• Infringe intellectual property
• Distribute malware
• Engage in fraud
• Promote illegal products
• Harass anyone
• Try to hack our systems
• Resell our services without permission

We may immediately suspend or terminate accounts we suspect of violations, fraud, or abuse, without notice or refund. Our decision is final.

6. Your Data and Content

• You own your data and content
• You grant us permission to process it to provide services
• You guarantee you have all rights to the data you send us
• If anyone claims you don't have rights, you handle it
• We can remove content we believe violates rights
• We process data according to our Privacy Policy

7. API and Service Limits

• Don't exceed rate limits or abuse the API
• We may throttle or suspend accounts that overuse resources
• No SLA - We don't guarantee uptime, availability, or response times
• Service may be interrupted for maintenance without notice

8. Third-Party Services

We integrate with advertising platforms (Meta, Google, TikTok, etc.) and other services. Their terms apply to your use of their services. We're not responsible for third-party platforms.

9. NO WARRANTIES OR GUARANTEES

THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES.

We don't guarantee:

• Any specific results or ROI
• Campaign success
• Uptime or availability
• Error-free operation
• Data accuracy or data delivery
• Third-party platform acceptance of data

Digital advertising is risky. You could lose money. Results vary. Ad accounts can be banned. Data may be lost. Events may not be delivered. We're not responsible for any of this. Use at your own risk.

10. Liability Limits

OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

We're not liable for indirect, consequential, or punitive damages, lost profits, lost data, or business interruption.

11. Indemnification

You'll defend and hold us harmless from claims arising from your use of the service, violations of these terms, or violations of laws or third-party rights.

12. Termination

• You can cancel anytime from your account settings
• We can suspend or terminate any account at our sole discretion
• No refunds ever, for any reason
• We may discontinue the service anytime with 30 days notice
• Upon termination, we may delete your data immediately

13. Disputes

These terms are governed by British Columbia, Canada law.

All disputes will be resolved through binding individual arbitration in Vancouver, BC. No class actions. No jury trials.

If you lose, you pay our legal fees and arbitration costs. If we lose, we pay our own costs.

Exception: Either party may seek injunctive relief in court for IP violations.

14. Changes

We may update these terms. Material changes will be notified by email. Continued use means acceptance.

15. Miscellaneous

• These terms are the entire agreement
• If any part is invalid, the rest remains
• We can assign these terms; you can't
• Neither party is liable for force majeure events
• Sections 9-11 and 13 survive termination forever
